Terms of Service

These Terms govern your use of Foremate. Please read them — by creating an account or using the service you agree to be bound by them. They are written in plain English on purpose, but they are a legal agreement.

1. Who we are

Foremate is operated by a sole trader based in New South Wales, Australia, trading as "Foremate" ("Foremate", "we", "us", "our"). The service is provided at foremate.com.au and related subdomains. Our ABN appears on the tax invoices we issue. "You" means the person or business that creates an account or uses the service.

2. What Foremate is (and isn't)

Foremate is job-management software for residential builders — quotes, contracts, costs, variations, progress claims, invoices, day logs, safety documents (SWMS), and related tools, with AI features that help draft and read documents.

Foremate is a software tool only. It is not:

  • legal advice, or a law firm, or a substitute for a lawyer;
  • accounting, bookkeeping, payroll, tax, PAYG, superannuation or STP software, or financial advice;
  • a licensed builder, certifier, work-health-and-safety adviser or insurer.

You are responsible for how you run your business and for meeting your own legal, tax, safety, licensing and contractual obligations. If you need professional advice, get it from a qualified professional.

3. Your account

  • You must be at least 18 and able to enter a binding contract.
  • You must give accurate account and business details and keep them current.
  • You are responsible for keeping your password secure and for all activity under your account, including logins you issue to your crew or team.
  • Tell us promptly at hello@foremate.com.au if you suspect unauthorised access.
  • One subscription covers one building business. Don't share a single account across separate businesses.

4. Free trial, subscription & billing

  • Free trial. New accounts get a 30-day free trial. We may change or end trial offers at any time; changes won't shorten a trial already running.
  • Price. After the trial, Foremate is AUD $75 per month or AUD $800 per year, including AI usage within fair-use limits. Prices are in Australian dollars.
  • Payment. Subscriptions are billed through our payment processor, Stripe. By subscribing you authorise us (via Stripe) to charge your payment method on a recurring basis until you cancel.
  • Auto-renewal. Your subscription renews automatically each period unless you cancel before the renewal date.
  • Price changes. We may change pricing. We'll give you reasonable notice (at least 30 days) by email or in-app before a change affects you. Continuing to pay after the change takes effect means you accept the new price.
  • Taxes. Prices are inclusive of GST where applicable. You're responsible for any other taxes on your use.
  • Failed payments. If a payment fails we may retry it and may suspend access until payment is made.

5. Cancellation & refunds

You can cancel any time from your account settings, or by emailing hello@foremate.com.au. When you cancel:

  • your subscription stops renewing;
  • you keep access until the end of the period you've already paid for;
  • we don't provide pro-rata refunds for the unused part of a paid period, and fees already paid are non-refundable, except where a refund is required by law (see section 11).

You can export your data at any time using the Job Pack export before you cancel.

6. AI-generated content — contracts, SWMS, quotes & briefings

Read this one carefully. Foremate uses AI to draft and read documents, including building contracts, Safe Work Method Statements (SWMS), variations, quotes and daily briefings. AI output is a starting draft, not finished legal or safety work. It can be wrong, incomplete, out of date, or unsuitable for your situation.

You acknowledge and agree that:

  • AI-generated contracts, SWMS, quotes, estimates, summaries and other output are provided without any warranty as to accuracy, completeness, legal compliance, currency, or fitness for a particular purpose;
  • a contract drafted in Foremate may not comply with the Home Building Act 1989 (NSW), the Building and Construction Industry Security of Payment Act 1999 (NSW) or any other law that applies to your job — you must review it and obtain your own legal advice before you rely on it or send it to a client;
  • a SWMS or other safety document generated in Foremate does not discharge your work-health-and-safety duties. You remain responsible under the Work Health and Safety Act 2011 (NSW) and its regulations for identifying hazards, controlling risks, and making sure any SWMS reflects the actual work and site;
  • AI estimates and takeoffs are approximations from the data supplied and must be checked before you price or commit to a job;
  • you are solely responsible for reviewing, correcting, and deciding whether to use any AI output, and for anything you issue to a client or worker based on it.

To the maximum extent permitted by law, we are not liable for any loss arising from your reliance on AI-generated content.

7. Your data and the documents you produce

  • You own your data. The jobs, documents, financial records, client details and other content you put into Foremate remain yours.
  • Licence to run the service. You grant us a limited licence to store, process, back up and display your content, and to send it to our sub-processors (such as our hosting and AI providers) strictly so we can operate the service for you. How we handle personal information is set out in our Privacy Policy.
  • Client and third-party data. You are responsible for the accuracy of your content and for having the right to upload it — including your clients' contract, contact and financial details. You confirm you have any consents needed to put third-party information into Foremate.
  • Documents you send to clients. Contracts, SWMS, quotes, invoices and claims you generate and then issue are your documents. Once you send them, they're your responsibility, not ours.

8. Acceptable use

You agree not to:

  • use Foremate for anything unlawful, or to store or generate unlawful content;
  • upload malware, or attempt to breach, probe or disrupt the service or its security;
  • reverse engineer, copy, resell, sublicense or white-label the service;
  • use the service to build a competing product, or scrape it at scale;
  • share money-visible access with people who shouldn't see rates, invoices or contract figures (crew logins are money-free by design — don't work around that).

9. Availability & "as is" service

We work to keep Foremate available and reliable, but the service is provided on an "as is" and "as available" basis. We don't guarantee uninterrupted or error-free operation, and we may take the service down for maintenance, updates or reasons outside our control. We keep backups, but you are responsible for keeping your own copies of anything critical — the Job Pack export lets you download everything at any time.

10. Limitation of liability

Subject to section 11 (your consumer rights), and to the maximum extent permitted by law:

  • we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, data, goodwill, or business opportunity, arising out of or in connection with the service;
  • our total aggregate liability to you for all claims arising out of or in connection with the service in any 12-month period is limited to the amount of subscription fees you actually paid us in the 12 months before the event giving rise to the claim;
  • we are not liable for loss caused by your own content, your reliance on AI output, documents you issue to third parties, your failure to keep your own backups, or events outside our reasonable control.
Plain note on the cap. Foremate is operated by a sole trader. A liability cap limits claims against the business under these Terms, but it cannot override the non-excludable consumer guarantees below, and a sole trader remains personally responsible where the law makes them so.

11. Your consumer rights (Australian Consumer Law)

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other law that cannot be excluded. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law.

Where we are permitted by law to limit our liability for a failure to meet a consumer guarantee, our liability is limited (at our option) to re-supplying the service or paying the cost of having it re-supplied.

12. Indemnity

To the extent permitted by law, you agree to indemnify us against loss, damage, claims and reasonable costs we suffer arising from your breach of these Terms, your misuse of the service, the content you upload, or any document you generate in Foremate and then issue to a client, worker or third party.

13. Suspension & termination

We may suspend or close your account if you breach these Terms, don't pay, or use the service in a way that risks harm to the service or others. Where reasonable and lawful we'll give you notice and a chance to fix the problem first. You can close your account at any time. On termination your right to use the service ends; export your data first.

14. Changes to these Terms

We may update these Terms as Foremate changes. If we make a material change we'll give you reasonable notice by email or in-app. Continuing to use Foremate after the change takes effect means you accept the updated Terms. The "Last updated" date at the top shows the current version.

15. Governing law

These Terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales.
